Centuri Holdings Announces Secondary Public Offering
PHOENIX—(BUSINESS WIRE)—Centuri Holdings, Inc. (NYSE: CTRI) announced today the pricing of a secondary public offering involving 15 million shares of its common stock. The offering is being conducted by Southwest Gas Holdings, Inc., a selling shareholder. Additionally, the underwriters have secured a 30-day option to purchase up to an extra 2.25 million shares.
Transaction Details and Private Placement
The transaction is anticipated to conclude on August 11, 2025, subject to usual closing conditions. Alongside this, Southwest Gas disclosed that Icahn Partners and its affiliated fund, Icahn Partners Master Fund LP, will acquire approximately 1.57 million shares from Southwest Gas in a private placement at the same per-share price as the public offering. This private deal is expected to finalize immediately after the public offering, contingent upon standard closing conditions, including the completion of the primary sale.
Centuri itself will not sell any shares in either transaction and will not receive proceeds from the sales conducted by Southwest Gas.
